By accessing or using LotRelay's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms constitute a legally binding agreement between you and LotRelay.
2. Description of Services
LotRelay provides auction catalog conversion services, enabling users to move auction lot listings between platforms including eBay, LiveAuctioneers, Invaluable, and others. Our services include data extraction, formatting, image processing, and file generation for upload to target platforms.
3. User Responsibilities
You agree to:
- Provide accurate and complete information when using our services
- Maintain the confidentiality of any account credentials
- Use our services only for lawful purposes and in compliance with all applicable laws
- Ensure you have the right to transfer and republish all content you submit
- Comply with the terms of service of all third-party platforms involved
4. Pricing and Payment
Our services are priced at $0.50 per listing for the first 100 listings, and $0.30 per listing thereafter. Your first 50 listings are free. Payment is due upon delivery of completed files. We accept major credit cards and PayPal. All fees are non-refundable except as expressly stated in these Terms.
5. Refund Policy
If you are unsatisfied with our service, please contact us. We will work with you to resolve any issues. Refunds may be issued at our discretion.
6. Intellectual Property
You retain all ownership rights to your auction lot content, including descriptions, images, and pricing information. By using our services, you grant us a limited, non-exclusive license to process this content solely for the purpose of providing our services. We claim no ownership over your content.
7. Platform Access
LotRelay uses read-only access to retrieve your auction lot data. We never modify, delete, or alter your original listings on any platform. You are responsible for the final upload and any modifications to files we provide.
8. Limitation of Liability
To the maximum extent permitted by law, LotRelay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability for any claims arising from these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, express or implied.
We do not guarantee that our services will be uninterrupted, error-free, or that files will be accepted by all platforms without modification.
10. Indemnification
You agree to indemnify and hold harmless LotRelay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
We may suspend or terminate your access to our services at any time for any reason, including violation of these Terms. Upon termination, your right to use our services will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
